Education

Mr. Perez received his Juris Doctor degree in 1986 from the University Of Miami School Of Law and received his Bachelor's degree in Business Administration, from Florida International University, with high honors, in 1981.

Mr. Perez has lectured before different industry groups/associations on numerous topics concerning his practice areas.

Background

Mr. Perez possesses a diverse legal and business background, having advised emerging growth and middle market companies in various industry sectors, including retail, healthcare, distribution, manufacturing, real estate, packaging and technology. His practice has included structuring, negotiating and documenting complex domestic and cross-border corporate and commercial transactions including, private equity and venture capital transactions, real estate development joint ventures, and business finance matters. Mr. Perez has structured, negotiated, and documented sophisticated business transactions having values well into the hundreds of millions of dollars. Mr. Perez has assisted clients with federal income tax planning, partnership and corporate tax, state taxation, federal and state tax audits and controversies, taxation of inbound and outbound transactions. Mr. Perez formulates tax efficient inbound investment structures enabling foreign investors to invest and do business in U.S. markets and pre-immigration tax planning and related matters. advising foreign entities and individuals relative to the U.S. federal and state tax consequences associated with their U.S. based activities, including acquisition of U.S. based entities, establishment of U.S. based affiliates.

Estate Planning & Administration

In connection with family or closely held businesses, Mr. Perez possesses a diverse background in estate planning, estate and trust administration, and tax planning. This would include engagements such as assisting high net worth domestic and international clients with traditional and advanced estate planning (e.g. wills, living trusts, charitable trusts, remainder trusts, insurance trusts and supplemental care trusts), coupled with gift, estate and generation-skipping transfer tax planning. Mr. Perez’s estate planning practice involves the design and implementation of orderly wealth transfers for individuals and families in both tax neutral and tax intensive jurisdictions. Mr. Perez has represented clients and families situated in the U.S. as well as international jurisdictions such as the Dominican Republic, Venezuela, Colombia, British Virgin Islands, Cayman Islands, Panama, Guadalupe and Spain. Mr. Perez likewise routinely assists clients with ancillary, summary and formal estate administrations as well as overseeing trust administrations.

Prior to having his own firm, Mr. Perez was Of Counsel to Vasallo Sloane, PL and was a founding member of Rasco Reininger Perez Esquenazi and Vigil, PL. Earlier in his professional career, he practiced as a Certified Public Accountant in Miami, Florida at a large public accounting firm in the audit and tax departments, providing audit, tax compliance, and tax consulting services in the real estate, healthcare and hospitality industries and in the areas of individual, corporate, and partnership taxation.

Mr. Perez’s experience includes:

• Land sales transaction by private homebuilder to another developer/homebuilder.
• Represented private-equity group in purchase of multifamily properties for conversion to condominiums.
• Represented home builder in numerous land acquisition transactions for tract home developments.
• Represented private stock ownership group in sale of charter airline to a publicly traded company.
• Represented private client in merger transaction in computer hardware/software industry.
• Representation of commercial banks in numerous financing transactions utilizing either “asset based lending” or real estate finance techniques.
• General corporate work related to formation of entities, preparation of ownership agreements, review of agreements, leases, etc. in the manufacturing, distribution, insurance services, logistics, professional services firms and real estate industries, among others.
